1. Overview
These Terms and Conditions (“Agreement”) govern participation in the Strike Force Agency LLC (“SFA,” “we,” “us,” or “our”) Approved Vendor Network (“the Network”). By applying to, joining, or participating in the Network, you (“Vendor,” “you,” or “your”) agree to abide by this Agreement.

2. Eligibility & Application

Vendors must be legitimate, lawfully registered businesses in good standing.

All information provided in the application must be accurate, complete, and kept up to date.

SFA reserves the right to approve, deny, or remove any Vendor at its sole discretion, with or without notice.

3. Vendor Responsibilities
​​

Vendors must provide goods or services as described in their application and listing.
-
Vendors agree to treat all SFA members and referrals professionally, ethically, and in accordance with applicable laws and regulations.

Vendors are responsible for their own pricing, inventory, fulfillment, and customer service.

Vendors must promptly notify SFA of any material changes in business operations, offerings, or contact details.

4. Payments & Transactions

Vendors agree to accept payment via Mastercard, including SFA virtual and prepaid cards, where applicable.

All transactions between Vendors and SFA members are solely between those parties. SFA is not a party to any sale or contract for goods/services between Vendors and members.

Vendors are solely responsible for applicable taxes, fees, and compliance with all payment regulations.

5. Credit Reporting (Optional)

Vendors may, at their option and if capable, report qualifying purchases by SFA members as business tradelines to credit bureaus.

SFA may facilitate or aggregate credit reporting on behalf of Vendors only if mutually agreed and technically feasible.

SFA does not guarantee any particular credit outcome for members or Vendors.

6. Listings & Promotion

SFA will list approved Vendors in its network and may feature them in directories, marketing, or outreach at its discretion.

Vendors may be required to submit logos, business descriptions, or special offers for display.
-
SFA may remove or edit any Vendor listing for any reason, at any time.

7. Prohibited Conduct
Vendors may not:

Offer illegal, prohibited, or fraudulent goods or services.

Misrepresent their business, products, or relationship with SFA.

Use SFA’s name, logo, or branding outside of approved listings or without written consent.

8. Relationship of Parties

Vendors are independent businesses and not employees, agents, or representatives of SFA.
-
No partnership, joint venture, franchise, or agency relationship is created by participation in the Network.

9. Limitation of Liability
​

SFA is not responsible for any loss, claim, damage, or dispute arising from transactions between Vendors and members, including but not limited to payment issues, service delivery, or product quality.

Participation in the Network is at Vendor’s own risk. SFA’s liability is strictly limited to the extent permitted by law.

10. Indemnification
Vendors agree to indemnify and hold harmless SFA, its affiliates, employees, and partners from any claims, losses, damages, liabilities, or expenses (including reasonable attorney’s fees) arising from Vendor’s participation in the Network, transactions with members, or breach of this Agreement.

11. Modification & Termination

SFA may update, modify, or terminate the Network or these Terms at any time. Updates will be posted on our website.

Vendors may terminate participation at any time by written notice. SFA may terminate Vendor participation at any time, with or without cause.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of [Your State], without regard to conflict of law principles.

Any disputes shall first be attempted to be resolved informally. If unresolved, disputes will be submitted to binding arbitration in [Your County, State], under the rules of the American Arbitration Association.
